What items must be taken in consideration before upgrading

None, they'll be fine as is. File format is the same and nothing is removed since 97.

Hello Harald,
I wish I had continued with that list I started when I was so p**** off at MS. I was trying to get programs written in 97 to work in both 97 and 2002 versions. I shuffled thru it finally and gave up on the list. Font spacing I believe, was the first issue I discovered, followed by non-working arguments in On.Action assignments. Enough of that. You forgot..."Office Binder", included with Office 97 is not available with Office 2002. You have to copy/move/transfer it yourself.
